Terms & Conditions

1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Krung Code" / "we" / "us": Krung Code, registered in Bangkok, Thailand, providing AI integration services.
- "Client" / "you": The organisation or individual entering into an agreement for services with Krung Code.
- "Services": The Quarter Review, Bridging Integration, and Heritage Support Plan, as described at krungcod.club/solutions.html.
- "Agreement": These Terms and Conditions together with any written scope document agreed between the parties.
- "Deliverables": Written reports, integration builds, and documentation produced by Krung Code as part of the Services.
2. Acceptance of Terms
By engaging Krung Code's services — whether by submitting a contact form, agreeing to a written scope, or making a payment — you confirm that:
- You are at least 18 years of age
- You have authority to enter into this Agreement on behalf of the organisation you represent
- You have read and understood these Terms and Conditions
3. Service Description
Krung Code provides AI integration services to business organisations in Thailand and internationally. Our three services are:
- Quarter Review (฿4,800): A structured workflow review session producing a written summary of where AI may or may not be a suitable fit.
- Bridging Integration (฿11,000): Connection of an AI assistant to one existing system, with full documentation and a team handover session. Duration approximately five weeks.
- Heritage Support Plan (฿17,300/month): Ongoing monitoring, maintenance, and monthly summary reporting for existing integrations. Available to clients who have completed a Bridging Integration.
Services are available primarily to organisations based in Thailand. Engagements with organisations outside Thailand are considered on a case-by-case basis.
4. Client Responsibilities
To enable Krung Code to deliver the Services, you agree to:
- Provide accurate and complete information about your workflows and systems
- Make relevant team members available for scheduled sessions
- Provide access to the systems relevant to the agreed scope
- Review and provide feedback on Deliverables within agreed timeframes
- Not use our Deliverables for unlawful purposes or in a manner that violates any applicable law
5. Intellectual Property
Upon full payment, Krung Code grants you a non-exclusive, non-transferable right to use the Deliverables produced specifically for your engagement. General methodologies, frameworks, and tools used in producing Deliverables remain the intellectual property of Krung Code.
You may not resell, license, or commercially exploit Deliverables without our prior written consent.
6. Payment Terms
- Currency: All prices are quoted in Thai Baht (฿).
- Quarter Review: Payment is due in full before the session takes place.
- Bridging Integration: 50% due before work begins; 50% due upon handover.
- Heritage Support Plan: Billed monthly in advance. First month's payment due before the plan commences.
- Cancellation of Support Plan: 30 days written notice required. No refund for the current billing period.
- Cancellation of Quarter Review or Integration: If cancelled more than 5 working days before scheduled commencement, amounts paid will be refunded less any preparatory costs incurred. Cancellations within 5 working days are non-refundable.
7. Scope and Changes
Work proceeds according to the written scope agreed before each engagement. Any request to extend scope requires a new written agreement before additional work begins. Krung Code will not perform out-of-scope work without confirming the cost and obtaining written approval.
8. Confidentiality
Both parties agree to treat as confidential any non-public information received in connection with the Services. This obligation continues for two years after the conclusion of an engagement. Krung Code will not share client operational information with any third party without written consent.
9. Disclaimers
Krung Code provides Services in good faith based on information provided by the Client. We do not warrant that:
- AI integrations will produce specific productivity outcomes
- Integrations will remain compatible with third-party software indefinitely
- The Quarter Review will identify an AI integration opportunity in every case
The Services are delivered by practitioners with relevant experience and are not a substitute for legal, accounting, or technical advice specific to your circumstances.
10. Limitation of Liability
To the fullest extent permitted by Thai law, Krung Code's total liability for any claim arising from or related to the Services is limited to the amount paid for the specific service giving rise to the claim.
We are not liable for indirect, consequential, or incidental loss, including loss of data, loss of revenue, or damage to business reputation.
Neither party is liable for failure to perform obligations where this is caused by circumstances beyond reasonable control (force majeure), including natural disasters, government action, or telecommunications failure.
11. Termination
Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice.
The Heritage Support Plan may be cancelled by the Client with 30 days written notice. Krung Code may terminate the Plan with 30 days notice if the relevant integration has been substantially altered or removed by the Client.
Sections 5 (Intellectual Property), 8 (Confidentiality), 10 (Limitation of Liability), and 13 (Governing Law) survive termination.
12. Indemnification
You agree to indemnify Krung Code against claims, losses, or expenses arising from your misuse of Deliverables, provision of inaccurate information, or violation of these Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. Both parties agree to attempt to resolve disputes informally before seeking formal resolution. If informal resolution is not possible within 30 days of written notice, disputes will be referred to the courts of Bangkok, Thailand.
14. General Provisions
- Entire agreement: These Terms, together with any written scope document, constitute the entire agreement between the parties in relation to the Services.
- Severability: If any provision is found unenforceable, the remainder of the Terms continues in force.
- Waiver: Failure to enforce any provision is not a waiver of the right to enforce it later.
- Assignment: You may not assign your rights under these Terms without our written consent.
- Notices: Written notices may be sent by email to the addresses used in the relevant engagement. Notices are effective on the day sent.
15. Changes to These Terms
We may update these Terms periodically. When we do, we will update the date at the top of this page. Active clients will be notified by email of significant changes. Continued use of our services after changes become effective constitutes acceptance.
